f) Customized Platform for large Organizations (1001+ Members)<\/p>\n\n\n\n

Your payment will be charged at confirmation of purchase. Your subscription automatically renews unless auto-renew is turned off at least 24-hours before the end of the current period. Your account will be charged for renewal within 24-hours prior to the end of the current period, and the renewal price will remain the same as the plan you originally purchased.<\/p>\n\n\n\n

You can upgrade, modify, or cancel subscription from our website, or if you purchased on the App Store from Apple, then from your Apple account. Subscriptions may be managed by the user and auto-renewal may be turned off by going to the user\u2019s Account Settings after purchase<\/p>\n\n\n\n

When you use our Services, you provide us with things like your files, content, messages, contacts, and so on (\u201cYour Stuff<\/strong>\u201d). Your Stuff is yours. These Terms don\u2019t give us any rights to Your Stuff except for the limited rights that enable us to offer the Services.<\/p>\n\n\n\n

Our Services also provide you with features like chatting, viewing your calendar, assigning tasks to workers, etc. These and other features may require our systems to access, store, and scan Your Stuff. You give us permission to do those things, and this permission extends to our affiliates and trusted third parties we work with.<\/p>\n\n\n\n

SHARING YOUR STUFF<\/h2>\n\n\n\n

Our Services let you share Your Stuff with others, so please think carefully about what you share.<\/p>\n\n\n\n

YOUR RESPONSIBILITIES<\/h2>\n\n\n\n

You\u2019re responsible for your conduct. Your Stuff and you must comply with our terms. Content in the Services may be protected by others\u2019 intellectual property rights. Please don\u2019t copy, upload, download, or share content unless you have the right to do so.<\/p>\n\n\n\n

We may review your conduct and content for compliance with these Terms and our Acceptable Use Policy. With that said, we have no obligation to do so. We aren\u2019t responsible for the content people post and share via the Services.<\/p>\n\n\n\n

Help us keep you informed and Your Stuff protected. Safeguard your password to the Services, and keep your account information current. Don\u2019t share your account credentials or give others access to your account.<\/p>\n\n\n\n

You may use our Services only as permitted by applicable law, including export control laws and regulations. Finally, to use our Services, you must be at least 13, or in some cases, even older. Please check your local law for the age of digital consent. If you don\u2019t meet these age requirements, you may not use the Services.<\/p>\n\n\n\n

ACCEPTABLE USE<\/h2>\n\n\n\n

You agree not to misuse TaskChat services (\u201cServices\u201d) or help anyone else to do so. For example, you must not even try to do any of the following in connection with the Services:<\/p>\n\n\n\n

• probe, scan, or test the vulnerability of any system or network;<\/li>
• breach or otherwise circumvent any security or authentication measures;<\/li>
• access, tamper with, or use non-public areas or parts of the Services, or shared areas of the Services you haven\u2019t been invited to;<\/li>
• interfere with or disrupt any user, host, or network, for example by sending a virus, overloading, flooding, spamming, or mail-bombing any part of the Services;<\/li>
• access, search, or create accounts for the Services by any means other than our publicly supported interfaces (for example, \u201cscraping\u201d or creating accounts in bulk);<\/li>
• send unsolicited communications, promotions or advertisements, or spam;<\/li>
• send altered, deceptive or false source-identifying information, including \u201cspoofing\u201d or \u201cphishing\u201d;<\/li>
• promote or advertise products or services other than your own without appropriate authorization;<\/li>
• abuse referrals or promotions to get more storage space than deserved;<\/li>
• circumvent storage space limits;<\/li>
• sell the Services unless specifically authorized to do so;<\/li>
• publish or share materials that are unlawfully pornographic or indecent, or that contain extreme acts of violence or terrorist activity, including terror propaganda;<\/li>
• advocate bigotry or hatred against any person or group of people based on their race, religion, ethnicity, sex, gender identity, sexual preference, disability, or impairment;<\/li>
• harass or abuse TaskChat personnel or representatives or agents performing services on behalf of TaskChat;<\/li>
• violate the law in any way, including storing, publishing or sharing material that\u2019s fraudulent, defamatory, or misleading; or<\/li>
• violate the privacy or infringe the rights of others.<\/li><\/ul>\n\n\n\n

  SOFTWARE<\/h2>\n\n\n\n

  Some of our Services allow you to download client software (\u201cSoftware<\/strong>\u201d) which may update automatically. So long as you comply with these Terms, we give you a limited, nonexclusive, nontransferable, revocable license to use the Software, solely to access the Services. To the extent any component of the Software may be offered under an open source license, we\u2019ll make that license available to you and the provisions of that license may expressly override some of these Terms. Unless the following restrictions are prohibited by law, you agree not to reverse engineer or decompile the Services, attempt to do so, or assist anyone in doing so.<\/p>\n\n\n\n

  BETA SERVICES<\/h2>\n\n\n\n

  We sometimes release products and features that we are still testing and evaluating and may not be as reliable as TaskChat\u2019s other services, so please keep that in mind.<\/p>\n\n\n\n

  OUR STUFF<\/h2>\n\n\n\n

  The Services are protected by copyright, trademark, and other US and foreign laws. These Terms don\u2019t grant you any right, title, or interest in the Services, others\u2019 content in the Services, TaskChat trademarks, logos and other brand features. We welcome feedback, but note that we may use comments or suggestions without any obligation to you.<\/p>\n\n\n\n

  PAID ACCOUNTS<\/h2>\n\n\n\n

  Billing.<\/em> You can increase your employee space and add paid features to your account. We\u2019ll automatically bill you from the date you sign up to a Paid Account and on each periodic renewal until cancellation. If you choose to cancel, you must cancel up to 24 hours before your subscription renews. You\u2019re responsible for all applicable taxes, and we\u2019ll charge tax when required to do so. Some countries have mandatory local laws regarding your cancellation rights, and this paragraph doesn\u2019t override these laws.<\/p>\n\n\n\n

  No Refunds.<\/em> You may cancel your Paid Account at any time. Refunds are only issued if required by law.<\/p>\n\n\n\n

  Downgrades.<\/em> Your Paid Account will remain in effect until it\u2019s cancelled or terminated under these Terms. If you don\u2019t pay for your Paid Account on time, we reserve the right to suspend it or reduce your plan to free space levels.<\/p>\n\n\n\n

  Changes.<\/em> We may change the fees in effect but will give you advance notice of these changes via a message to the email address associated with your account.<\/p>\n\n\n\n

  TASKCHAT TEAM POLICIES<\/h2>\n\n\n\n

  Email address.<\/em> If you sign up for a TaskChat account with an email address provisioned by your organization, your organization may be able to block your use of TaskChat.<\/p>\n\n\n\n

  Using TaskChat with your Team.<\/em> If you join a TaskChat team, you must use it in compliance with your organization\u2019s terms and policies. Please note that TaskChat team accounts are subject to your organization\u2019s control. Your administrators may be able to access, disclose, restrict, or remove information in or from your TaskChat team account. They may also be able to restrict or terminate your access to a TaskChat team account.<\/p>\n\n\n\n

  TERMINATION<\/h2>\n\n\n\n

  You\u2019re free to stop using our Services at any time. We reserve the right to suspend or terminate your access to the Services with notice to you if:<\/p>\n\n\n\n

  (a) you\u2019re in breach of these Terms,<\/p>\n\n\n\n

  (b) you\u2019re using the Services in a manner that would cause a real risk of harm or loss to us or other users, or<\/p>\n\n\n\n

  (c) you don\u2019t have a Paid Account and haven\u2019t accessed our Services for 12 consecutive months.<\/p>\n\n\n\n

  We\u2019ll provide you with reasonable advance notice via the email address associated with your account to remedy the activity that prompted us to contact you and give you the opportunity to export Your Stuff from our Services. If after such notice you fail to take the steps we ask of you, we\u2019ll terminate or suspend your access to the Services.<\/p>\n\n\n\n

  We won\u2019t provide notice before termination where:<\/p>\n\n\n\n

  (a) you\u2019re in material breach of these Terms,<\/p>\n\n\n\n

  (b) doing so would cause us legal liability or compromise our ability to provide the Services to our other users, or<\/p>\n\n\n\n

  (c) we\u2019re prohibited from doing so by law.<\/p>\n\n\n\n

  DISCONTINUATION OF SERVICES<\/h2>\n\n\n\n

  We may decide to discontinue the Services in response to unforeseen circumstances beyond TaskChat\u2019s control or to comply with a legal requirement. If we do so, we\u2019ll give you reasonable prior notice so that you can export Your Stuff from our systems. If we discontinue Services in this way before the end of any fixed or minimum term you have paid us for, we\u2019ll refund the portion of the fees you have pre-paid but haven\u2019t received Services for.<\/p>\n\n\n\n

  SERVICES \u201cAS IS\u201d<\/h2>\n\n\n\n

  We strive to provide great Services, but there are certain things that we can\u2019t guarantee. TO THE FULLEST EXTENT PERMITTED BY LAW, TASKCHAT AND ITS AFFILIATES, SUPPLIERS AND DISTRIBUTORS MAKE NO WARRANTIES, EITHER EXPRESS OR IMPLIED, ABOUT THE SERVICES. THE SERVICES ARE PROVIDED \u201cAS IS.\u201d WE ALSO DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Some places don\u2019t allow the disclaimers in this paragraph, so they may not apply to you.<\/p>\n\n\n\n

  LIMITATION OF LIABILITY<\/h2>\n\n\n\n

  WE DON\u2019T EXCLUDE OR LIMIT OUR LIABILITY TO YOU WHERE IT WOULD BE ILLEGAL TO DO SO\u2014THIS INCLUDES ANY LIABILITY FOR TASKCHAT OR ITS AFFILIATES\u2019 FRAUD OR FRAUDULENT MISREPRESENTATION IN PROVIDING THE SERVICES. IN COUNTRIES WHERE THE FOLLOWING TYPES OF EXCLUSIONS AREN\u2019T ALLOWED, WE\u2019RE RESPONSIBLE TO YOU ONLY FOR LOSSES AND DAMAGES THAT ARE A REASONABLY FORESEEABLE RESULT OF OUR FAILURE TO USE REASONABLE CARE AND SKILL OR OUR BREACH OF OUR CONTRACT WITH YOU. THIS PARAGRAPH DOESN\u2019T AFFECT CONSUMER RIGHTS THAT CAN\u2019T BE WAIVED OR LIMITED BY ANY CONTRACT OR AGREEMENT.<\/p>\n\n\n\n

  IN COUNTRIES WHERE EXCLUSIONS OR LIMITATIONS OF LIABILITY ARE ALLOWED, TASKCHAT, ITS AFFILIATES, SUPPLIERS OR DISTRIBUTORS WON\u2019T BE LIABLE FOR:<\/p>\n\n\n\n

  i. ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, OR<\/p>\n\n\n\n

  ii. ANY LOSS OF USE, DATA, BUSINESS, OR PROFITS, REGARDLESS OF LEGAL THEORY.<\/p>\n\n\n\n

  THESE EXCLUSIONS OR LIMITATIONS WILL APPLY REGARDLESS OF WHETHER OR NOT TASKCHAT OR ANY OF ITS AFFILIATES HAS BEEN WARNED OF THE POSSIBILITY OF SUCH DAMAGES.<\/p>\n\n\n\n

  IF YOU USE THE SERVICES FOR ANY COMMERCIAL, BUSINESS, OR RE-SALE PURPOSE, TASKCHAT, ITS AFFILIATES, SUPPLIERS OR DISTRIBUTORS WILL HAVE NO LIABILITY TO YOU FOR ANY LOSS OF PROFIT, LOSS OF BUSINESS, BUSINESS INTERRUPTION, OR LOSS OF BUSINESS OPPORTUNITY. TASKCHAT AND ITS AFFILIATES AREN\u2019T RESPONSIBLE FOR THE CONDUCT, WHETHER ONLINE OR OFFLINE, OF ANY USER OF THE SERVICES.<\/p>\n\n\n\n

  WE DO NOT GUARANTEE THE SAFEGUARD OF YOUR DATA.<\/p>\n\n\n\n

  OTHER THAN FOR THE TYPES OF LIABILITY WE CANNOT LIMIT BY LAW (AS DESCRIBED IN THIS SECTION), WE LIMIT OUR LIABILITY TO YOU TO THE GREATER OF $20 USD OR 100% OF ANY AMOUNT YOU\u2019VE PAID UNDER YOUR CURRENT SERVICE PLAN WITH TASKCHAT.<\/p>\n\n\n\n

  RESOLVING DISPUTES<\/h2>\n\n\n\n

  Let\u2019s Try To Sort Things Out First.<\/em> We want to address your concerns without needing a formal legal case. Before filing a claim against TaskChat, you agree to try to resolve the dispute informally by contacting disputes@jarbly.com. We\u2019ll try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, you or TaskChat may bring a formal proceeding.<\/p>\n\n\n\n

  Judicial forum for disputes.<\/em> You and TaskChat agree that any judicial proceeding to resolve claims relating to these Terms or the Services will be brought in the federal or state courts of San Francisco County, California, subject to the mandatory arbitration provisions below. Both you and TaskChat consent to venue and personal jurisdiction in such courts. If you reside in a country (for example, European Union member states) with laws that give consumers the right to bring disputes in their local courts, this paragraph doesn\u2019t affect those requirements.<\/p>\n\n\n\n

  NO CLASS ACTIONS<\/strong><\/em>. You may only resolve disputes with us on an individual basis, and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations aren\u2019t allowed. If this specific paragraph is held unenforceable, then the entirety of this \u201cMandatory Arbitration Provisions\u201d section will be deemed void.<\/p>\n\n\n\n

  CONTROLLING LAW<\/h2>\n\n\n\n

  These Terms will be governed by Florida law except for its conflicts of laws principles. However, some countries (including those in the European Union) have laws that require agreements to be governed by the local laws of the consumer\u2019s country. This paragraph doesn\u2019t override those laws.<\/p>\n\n\n\n

  ENTIRE AGREEMENT<\/h2>\n\n\n\n

  These Terms constitute the entire agreement between you and TaskChat with respect to the subject matter of these Terms, and supersede and replace any other prior or contemporaneous agreements, or terms and conditions applicable to the subject matter of these Terms. These Terms create no third party beneficiary rights.<\/p>\n\n\n\n

  WAIVER, SEVERABILITY & ASSIGNMENT<\/h2>\n\n\n\n

  TaskChat\u2019s failure to enforce a provision is not a waiver of its right to do so later. If a provision is found unenforceable, the remaining provisions of the Terms will remain in full effect and an enforceable term will be substituted reflecting our intent as closely as possible. You may not assign any of your rights under these Terms, and any such attempt will be void. TaskChat may assign its rights to any of its affiliates or subsidiaries, or to any successor in interest of any business associated with the Services.<\/p>\n\n\n\n

  MODIFICATIONS<\/h2>\n\n\n\n

  We may revise these Terms from time to time to better reflect:<\/p>\n\n\n\n

  (a) changes to the law,<\/p>\n\n\n\n

  (b) new regulatory requirements, or<\/p>\n\n\n\n

  (c) improvements or enhancements made to our Services.<\/p>\n\n\n\n

  If an update affects your use of the Services or your legal rights as a user of our Services, we\u2019ll notify you prior to the update\u2019s effective date by sending an email to the email address associated with your account or via an in-product notification. These updated terms will be effective no less than 30 days from when we notify you.<\/p>\n\n\n\n

  If you don\u2019t agree to the updates we make, please cancel your account before they become effective. Where applicable, we\u2019ll offer you a prorated refund based on the amounts you have prepaid for Services and your account cancellation date.
